Audit Report Types Explained With Practical Examples

October 27, 2026 23 min read
On this page
    Summary

An audit report is the opinion an independent auditor gives on whether a companyโ€™s accounts show a true and fair view. There are four types of audit report: unmodified, qualified, adverse and disclaimer, and in India the layout follows SA 700. Each provides a different conclusion based on the audit evidence and any material misstatements or evidence gaps.

An audit report follows a defined structure, including the opinion, basis for opinion, responsibilities, and signature. In India, statutory audit reports follow applicable auditing standards and company law requirements.

Most people open an annual report and head straight for the profit number. Fair enough. But a few pages earlier sits the auditorโ€™s report, and hardly anyone reads it, even though itโ€™s the only page in the document written by someone who gains nothing if the company looks good. This guide covers what an audit report actually says, how to read one without dozing off, and the Indian versions (company, tax, cost and internal) that most guides skip. And if youโ€™d like to be the one who signs these someday, the US CPA Course from Imarticus is a decent place to start.

So, what is audit report in plain terms? Itโ€™s the opinion an independent auditor gives on whether a companyโ€™s accounts show a true and fair view. There are four types of opinion: unmodified, qualified, adverse and disclaimer, and in India the layout follows SA 700. Further down youโ€™ll find each one explained, a sample and an example, then the tax, cost and internal versions along with the 2026 due dates. Thereโ€™s also a section on what a clean opinion canโ€™t tell you, which matters more than most people expect.

What Is Audit Report? (Audit Report Meaning)

An audit report is a short document, often two to four pages for a company, in which an independent auditor says whether the financial statements can be trusted. Thatโ€™s the audit report meaning once you strip out the jargon.

The auditor doesnโ€™t prepare the accounts. Management does. The auditor tests them, checks a sample of the evidence underneath, and signs a paragraph saying what turned up. People tend to mix up two things here:

    • The audit is the work itself, and it takes weeks.
    • The report is what comes out at the end, and itโ€™s usually the only bit anyone outside the company ever sees.

Financial statements are only as believable as that one paragraph.

Who Prepares An Audit Report, And Who Reads It?

In India, a practising chartered accountant or a CA firm writes the audit report of a company. Shareholders appoint them, and the whole arrangement only works if the auditor is independent of the people running the business. The readers are a mixed bunch:

    • Shareholders
    • Banks deciding on a loan
    • The tax department and regulators
    • The odd customer wondering whether a supplier will still be around next year

If youโ€™d rather see one than read about it, thereโ€™s a full audit report example further down.

    Importance of Audit Report

The importance of audit report opinions is easiest to see when one fails. Auditors test samples; they donโ€™t recount everything, and they lean on managementโ€™s honesty more than anyone likes to admit. Think of the report as a floor, not a guarantee. Even so, it matters a lot. Hereโ€™s who relies on it:

    • Lenders use it to decide whether to lend and at what rate.
    • Investors use it to compare companies on equal terms.
    • Tax and company law authorities start their own checks from it.
    • Management gets something it rarely gets elsewhere: an outsiderโ€™s list of where its controls are weak.

In short, a signed opinion lets strangers trust numbers they canโ€™t check themselves. That trust is bigger than it looks, which is exactly why the damage is so large when it breaks.

    Did You Know?
Key audit matters have their own reporting standard? SA 701 deals with the auditor’s responsibility to communicate key audit matters in the independent auditor’s report. (Source)

    Types of Audit Report

There are four kinds, and they all come down to one question: did the auditor get the evidence they needed, and did it check out? Group them into two, and it gets easier. Unmodified is the clean one. Modified is everything else, meaning qualified, adverse or disclaimer. Two words show up in every explanation, and almost nobody defines them:

    • Material: big enough to change a readerโ€™s decision.
    • Pervasive: the problem isnโ€™t stuck in one corner; it has spread through the statements as a whole.

Hereโ€™s a quick picture. Say a company has Rs 500 crore in revenue and Rs 40 crore in profit. A Rs 1 lakh error in how a travel bill was booked is noise, and nobody changes a decision over it. A Rs 8 crore error moves profit by a fifth, and a lender would want to hear about that. Many firms start near 5% of profit before tax and then adjust for the client in front of them, so thereโ€™s no magic number. Two honest auditors can draw the line in slightly different places.

    Unmodified (clean) opinion

This is the one everybody wants, and most companies get. SA 700 and SA 705 call it unmodified, while older books (and most people) still say unqualified. Same thing.

It says the statements give a true and fair view. It doesnโ€™t say the company is doing well. A business can lose money three years running and still get a clean opinion, because the opinion is about whether the numbers are fairly stated, not whether theyโ€™re any good.

    Qualified audit report

A qualified audit report says everything is fine except for one thing. Look out for the words โ€œexcept forโ€. You get one in two situations:

    • Thereโ€™s a material misstatement, but it stays contained.
    • The auditor couldnโ€™t verify something, and the possible effect is contained too.

The classic case is a company that hasnโ€™t made a provision for a big customerโ€™s unpaid dues. Everything else can be spotless, and the report is still qualified.

    Adverse opinion

Here the misstatement is material and pervasive, and the auditor says the statements as a whole donโ€™t give a true and fair view.

Fewer companies get this than youโ€™d expect, because management usually fixes the problem before the report is signed. Itโ€™s rarely a surprise, either. By that point the auditor and the company have normally been arguing for weeks.

    Disclaimer of opinion

Sometimes the auditor canโ€™t form an opinion at all. Records are missing, management wonโ€™t allow access, or the evidence just canโ€™t be had, and the possible effects are material and pervasive. So the auditor declines to give one. Itโ€™s the oddest of the four. It says nothing about whether the numbers are right, only that there was no way to judge them.

OpinionWhen itโ€™s issuedPervasive? What it tells you
UnmodifiedStatements are fairly statedNo issueYou can rely on the numbers
QualifiedMaterial issue or evidence gap, but containedNoFine, apart from one flagged area
AdverseMaterial misstatement, spread widelyYesDonโ€™t rely on the statements
DisclaimerEvidence not obtainable, effects could be widespreadYesThe auditor couldnโ€™t judge

    Paragraphs that are not opinions

    • Emphasis of Matter (SA 706): points at something already disclosed in the accounts, like a pending court case, that you shouldnโ€™t miss.
    • Key Audit Matters (SA 701): describe what took most of the auditorโ€™s attention. Listed companies have to include them.

Neither changes the opinion. Iโ€™d still read both before the opinion paragraph, because they show where the risk sits.

    Reports by Purpose

The same word covers four different documents, and this is where a lot of Indian searchers land on the wrong page.

    • Statutory report: the one above, required under the Companies Act.
    • Internal audit: written for management and the board. See the internal section below.
    • Tax audit: the CAโ€™s report under Section 44AB of the Income-tax Act.
    • Cost audit: a check on cost records for specified companies.
    audit report types

    Audit Report Format

The audit report format an Indian statutory auditor follows comes from SA 700 (Revised), which applies to audits of periods starting on or after 1 April 2018. Before that, reports were shorter and looser. Now every report reads in roughly the same order, which helps you as a reader. Learn this layout by heart, and you can skim any report in two minutes.

    SectionWhat it says
    TitleIndependent Auditorโ€™s Report
    AddresseeThe members of the company
OpinionTrue and fair view, or a modified opinion
Basis for opinionStandards followed, independence, evidence obtained
Key Audit MattersListed entities only (SA 701)
Other informationMaterial in the annual report outside the statements (SA 720)
Managementโ€™s responsibilityPreparing the statements, internal controls, going concern
    Auditorโ€™s responsibilityReasonable assurance, professional scepticism
Other legal and regulatory requirementsSection 143(3) matters and the CARO annexure
Signature blockFirm name, registration number, partner, membership number, UDIN, place, date

The tax version looks different, and I cover it in the tax section further down. The audit report sample right after this shows how all the pieces above look once theyโ€™re put together. People keep asking whether thereโ€™s a new layout for 2026. I checked, and the SA 700 layout hasnโ€™t changed since 2018. What did change is reporting for tax audits:

    • Updated Form 3CD fields now.
    • A move to a single form under the Income-tax Act, 2025 for later years.

A quick aside if youโ€™d like to write these rather than read them. In the US system, the Auditing and Attestation section of the CPA exam is built around this exact skill, and the CPA Course at Imarticus is a route into that exam.

    format of an audit report

    Audit Report Sample and Example

Reading about layout only gets you so far. Below is an audit report sample for a made-up company, written in my own words but following the SA 700 structure. Names, numbers and dates are invented, and Iโ€™ve trimmed parts so it stays readable. Treat it as a map, not something to copy.

    Independent Auditorโ€™s Report
To the Members of Sharma Textiles Private Limited

Opinion. We have audited the standalone financial statements of Sharma Textiles Private Limited, which comprise the balance sheet as at 31 March 2026, the statement of profit and loss, the cash flow statement and the statement of changes in equity for the year then ended, and a summary of material accounting policies. In our opinion, the financial statements give the information required by the Companies Act, 2013 in the manner required, and give a true and fair view of the state of affairs of the company as at 31 March 2026, of its profit and its cash flows for the year ended on that date.

Basis for Opinion. We conducted our audit in accordance with the Standards on Auditing. Our responsibilities under those standards are described later in this report. We are independent of the company in accordance with the Code of Ethics issued by ICAI, and we believe the evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

[Key Audit Matters, managementโ€™s and auditorโ€™s responsibilities and the legal requirements section follow here]

For R. Mehta & Co., Chartered Accountants. Firm Registration No. [number]. Partner, Membership No. [number]. UDIN: [number]. Place and date.

    Three things stand out:

    • The opinion comes first, before any explanation.
    • The basis paragraph is where the auditor puts their independence and evidence on record.
    • The signature block isnโ€™t decoration. The UDIN lets anyone verify the report on ICAIโ€™s portal.

Audit Report Example: A Qualified Opinion

Now the same company on a bad day. Here the auditor found one problem and nothing else.

Basis for Qualified Opinion. Trade receivables include Rs 4.2 crore due from a customer that entered insolvency proceedings in November 2025. The company has made no provision against this amount. In our view, a provision of Rs 4.2 crore was required. Had it been made, trade receivables and profit before tax for the year would have been lower by Rs 4.2 crore.

Qualified Opinion. In our opinion, except for the effects of the matter described in the Basis for Qualified Opinion paragraph, the financial statements give a true and fair view…

Thatโ€™s a qualified audit report with the reasons spelt out, and it puts a rupee figure on the damage. An auditor who writes โ€œsome receivables may be doubtfulโ€ with no number is hedging. The good ones tell you how much.

    Did You Know?
An auditor’s opinion must be stated clearly in writing. SA 700 sets two core objectives: form an opinion based on audit evidence and communicate it clearly through a written report. (Source)

Audit Report of a Company Under the Companies Act

Everything in this section sits under the Companies Act, 2013. Section 143 requires the statutory auditor to report to members on whether the accounts give a true and fair view. Section 143(3) adds specific things the auditor must state, such as whether proper books of account were kept. Most companies also get an annexure under the Companies (Auditorโ€™s Report) Order, 2020, called CARO 2020. Think of it as a checklist the auditor has to answer, covering:

    • Fixed assets
    • Inventory
    • Loans
    • Statutory dues
    • Borrowings
    • Fraud

Some small companies are exempt, so check your own status before assuming either way. Listed and unlisted companies differ mostly on Key Audit Matters, which are compulsory for listed ones and optional for the rest. Where to find one:

    • Listed companies: the annual report on the companyโ€™s website.
    • Everyone else: the audit report of a company sits inside the financial statements filed on the MCA portal.

Pro Tip: Verify tax forms and deadlines for the relevant year. Tax audit requirements can change with the applicable law and tax year. Check the Income Tax Department’s official forms and guidance before relying on a form number or filing date. (Source)

    Internal Audit Report

An internal audit report is written for the people running the business, not the people lending to it. It asks where the company is exposed, which is a different question from whether the numbers are fair. Section 138 of the Companies Act requires prescribed classes of companies to have an internal audit, and plenty of others do it anyway because it finds problems cheaply.

    External (statutory)Internal
    Appointed byShareholdersManagement or the board
PurposeAn opinion on the financial statementsBetter controls and processes
    ReaderOutsidersManagement and the audit committee
LayoutFixed by SA 700Set by the audit team

A good internal audit report reads like a repair list, not a verdict. Nobody on the receiving end wants a lecture. They want to know what broke, how bad it is and who fixes it by when.

    Internal Audit Report Format

Thereโ€™s no fixed internal audit report format the way there is for the statutory one, but good reports share a skeleton. Hereโ€™s an internal audit report format that works in most teams:

    • Scope and objective
    • An overall rating
    • The findings
    • A risk rating for each finding
    • Managementโ€™s response, with a deadline
    • An action tracker

Each finding is easiest to write with the 5 Cโ€™s. Hereโ€™s a made-up one:

    • Condition: 38 vendor invoices worth Rs 62 lakh were paid without a goods receipt note.
    • Criteria: Company policy requires a three-way match of purchase order, receipt and invoice before payment.
    • Cause: The payables team overrode the check for โ€œurgentโ€ vendors, and the system didnโ€™t block it.
    • Consequence: The company can pay for goods it never received, or pay twice.
    • Corrective action: Block payment without a match in the system, and review overrides every month.

    Cost Audit Report

A cost audit report checks cost records, not profit. Section 148 of the Companies Act lets the government require certain classes of companies to keep cost records and have them audited by a practising cost accountant. The result is the cost audit report, filed in Form CRA-3. Which companies are covered depends on the current rules, so look yours up before assuming. The difference from a statutory report is simple enough:

    • The statutory auditor asks whether the statements give a true and fair view.
    • The cost auditor asks whether the cost of making a product has been recorded and calculated properly.

If cost sheets and variances are new to you, our guides on cost accounting and standard costing are the better place to start.

    Tax Audit Report

A tax audit report is the CAโ€™s report under Section 44AB of the Income-tax Act. Its job is to give the tax department verified particulars about the books and certain claims. It isnโ€™t there to give investors comfort. You need one if:

    • Business turnover is above Rs 1 crore (Rs 10 crore if cash receipts and payments are each 5% or less of the total).
    • Professional receipts are above Rs 50 lakh.

The CA files it online on the income tax e-filing portal, and the taxpayer then has to accept it there.

    Tax Audit Report Format

The tax audit report format is really three forms working in pairs:

    FormUsed when
Form 3CAThe accounts are already audited under another law, such as the Companies Act
Form 3CBThe taxpayer is audited only because of Section 44AB
Form 3CDThe detailed statement of particulars filed with either 3CA or 3CB

For FY 2025-26, which is AY 2026-27, the format is still 3CA or 3CB along with 3CD.

Income Tax Audit Report Due Date for AY 2026-27

The income tax audit report due date was 30 September 2026, one month before the due date for the audited income tax return. It was later moved.

    ItemOriginalExtended
Report under Section 44AB, general cases30 September 202621 October 2026
Income tax return for audit cases31 October 202621 November 2026

Tax Audit Report Due Date Extension

The tax audit report due date extension came through CBDT Circular 07/2026, dated 28 September 2026. It moved the report from 30 September to 21 October and the return from 31 October to 21 November.

One more change to watch: the Income-tax Act, 2025 replaces Section 44AB with Section 63, and Forms 3CA, 3CB and 3CD with a single Form 26, for later years. Check the Income Tax Departmentโ€™s site for which tax years it applies to.

What a Clean Opinion Cannot Tell You

Most disappointment with these reports comes from asking them a bigger question than they were built to answer. A few limits are worth knowing before you lean on one:

    • It isnโ€™t a fraud check. Auditors plan to catch material misstatements, fraud included, but they work from samples and from documents that management hands over. If several people inside a company agree to lie and forge the paper trail, a sample test can walk straight past it. Thatโ€™s roughly what happened in the stories I mentioned earlier.
    • It doesnโ€™t promise survival. The statements look backwards. The auditor does consider whether the company can keep going for the next twelve months, and if thereโ€™s real doubt, the report carries a separate paragraph on material uncertainty about going concern. Pay more attention to that paragraph than to the opinion above it. A company can have a spotless opinion and a bank that stops lending next quarter.
    • It says nothing about price. โ€œFairly statedโ€ is a statement about accounting. A fairly stated loss-making business is still a loss-making business, and a stock can be expensive on perfectly audited numbers.
    • It covers only the financial statements. Nothing in it tells you whether the strategy is sound, the product is any good, or the founder will stay.

The report answers one narrow question carefully, which is a better deal than answering a broad one carelessly.

Pro Tip: Match the report to the type of audit. A statutory audit, internal audit, cost audit and tax audit have different purposes. Identify the report type first, so you apply the correct rules and interpret the findings in context.

How to Prepare and Read an Audit Report

Writing an audit report and reading one are really two sides of the same job. The people who sign them follow a fairly fixed routine, and knowing that routine makes it much easier to spot where a report is thin. So Iโ€™ll start with how an auditor gets from a pile of ledgers to a signed opinion, then move to how you can read one yourself.

How To Complete An Audit Report?

Hereโ€™s the usual order of work:

    1. Plan the audit and learn how the business actually makes money.
    2. Work out where the accounts are most likely to be wrong.
    3. Gather evidence: confirmations from banks and customers, inspection of assets, recalculation of key numbers.
    4. Compare the errors found against materiality.
    5. Decide on the opinion.
    6. Draft it in the SA 700 layout.
    7. Get a partner review, then sign with the UDIN and date, and send it to those charged with governance.

    How To Read One?

Most people read the opinion and stop. Iโ€™d read around it. Check these five things, in this order:

    1. Which opinion is it, and are there any โ€œexcept forโ€ words?
    2. What does the basis paragraph say about evidence and independence?
    3. What are the Key Audit Matters, and why did the auditor pick those?
    4. Is there an Emphasis of Matter paragraph?
    5. What do the CARO answers say about loans, dues and fraud?

Read An Audit Report For Real

Pick a company you already know. Relianceโ€™s annual report is public and long, and its auditorโ€™s report is a good first one to read because youโ€™ll recognise the business behind the words.

Donโ€™t try to follow every line. Find the opinion, find the Key Audit Matters, and ask yourself why those matters kept the auditor busy. Thatโ€™s the best audit report example you can study, because itโ€™s real and nobody wrote it for teaching.

    Government And Local Audits

Searches like โ€œaudit report of C&AGโ€ and โ€œgram panchayat audit reportโ€ are a different animal. The Comptroller and Auditor General audits government accounts and reports to Parliament and state legislatures, and local bodies are audited by state local fund departments. These are compliance and performance reports, not SA 700 opinions, so go to the official portals for the actual documents.

    FAQs on Audit Report

From spotting the difference between a clean and qualified opinion to decoding SA 700 rules and tax audit forms, these frequently asked questions clarify the details that shape an audit report and its final verdict.

    What Is Audit Report?

An audit report is the opinion an independent auditor gives on whether financial statements show a true and fair view. The audit is the work, and the report is what comes out of it. Shareholders, lenders and regulators are the people who read it.

What Are The Four Types Of Audit Reports?

The four types of audit report are: Unmodified (clean), qualified, adverse and disclaimer of opinion. A clean one says the statements are fair. The other three are modified opinions, used when the auditor finds a misstatement or canโ€™t get enough evidence.

What Is The New Audit Report Format For 2026?

There isnโ€™t a new audit report format for 2026. Statutory reports still follow SA 700 (Revised). What changed is reporting for tax audits, with updated Form 3CD fields and a single Form 26 under the Income-tax Act, 2025 for later years.

What Is A 3CB Audit Report?

Form 3CB audit report is what a CA files under Section 44AB when the taxpayerโ€™s books donโ€™t need an audit under any other law. It goes with Form 3CD, and together they make up the tax audit report format for such taxpayers. If another law already requires an audit, Form 3CA is used instead.

    Who Prepares An Audit Report?

An independent auditor prepares an audit report. Thatโ€™s a practising chartered accountant or firm for statutory and tax audits, a cost accountant for cost audits, and an internal audit team or outside firm for internal audits.

Why Is An Audit Report Important?

An audit report is important because lenders, investors and regulators get independent assurance that the numbers can be relied on, and control and compliance gaps get flagged before they turn into losses or penalties. Thatโ€™s the importance of audit report sign-off in one sentence.

How To Complete An Audit Report?

To complete an audit report, plan the audit, assess risk, gather evidence, compare errors against materiality, form the opinion, draft it in the SA 700 layout and get it reviewed. Then itโ€™s signed with the UDIN and date.

What Is The Income Tax Audit Report Due Date For AY 2026-27?

The Income Tax audit report due date was 30 September 2026. CBDT extended it to 21 October 2026 for general cases, and audited returns moved from 31 October to 21 November 2026.

Was The Tax Audit Report Due Date Extended?

Yes. The tax audit report due date extension came through CBDT Circular 07/2026 dated 28 September 2026. That date has now passed, so anyone who filed late should speak to their CA about the Section 271B penalty.

How to Use an Audit Report the Next Time You Open One

If you only take a few things from this guide, make them these. Check which opinion youโ€™re looking at before anything else, and look for the words โ€œexcept forโ€. Read the paragraphs around the opinion, because Key Audit Matters and any going concern note say more about where the risk sits than the opinion itself. Remember that a clean opinion says the numbers are fairly stated, never that the business is any good. And treat every tax date as provisional until youโ€™ve checked it, since this yearโ€™s extension showed how quickly they move.

The audit report meaning really is that modest, and thatโ€™s the honest importance of audit report sign-off. Itโ€™s a narrow claim, carefully made, and itโ€™s only worth something when the person signing was independent and did the work. Enron and Satyam are what happens when the sign-off turns into a formality.

Most people will only ever read these reports. But if you caught yourself finding the Rs 4.2 crore qualification more interesting than the profit line, you might be someone whoโ€™d enjoy writing them. The Auditing and Attestation section of the US CPA exam is built around exactly this kind of judgement, and the CPA Course at Imarticus Learning is one route into it. Have a look once youโ€™ve decided where youโ€™d like your own signature to end up.
